Terms of Service

LAST UPDATED: APRIL 30, 2026 · DECORADSPRO · EFFECTIVE FOR ALL ENGAGEMENTS FROM THIS DATE

These Terms of Service (“Terms”) govern the relationship between DecorAdsPro (“we,” “us,” or “Agency”) and any business or individual (“Client”) that engages our services. By engaging DecorAdsPro for any paid service, requesting an audit, or accepting a proposal, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. Services

DecorAdsPro provides performance marketing services for home decor brands, including but not limited to:

  • Pinterest Ads management (campaign strategy, setup, optimisation, reporting)
  • Google Ads management (Search, Performance Max, Shopping, Demand Gen, Local)
  • Meta Ads management (Facebook and Instagram, Advantage+ Shopping, CAPI, dynamic catalog)
  • Local SEO (Google Business Profile optimisation, citation building, geo landing pages, review systems)

The specific scope of services for each engagement is defined in the proposal or statement of work (“SOW”) agreed upon in writing prior to commencement. Services not listed in the SOW are out of scope and subject to separate agreement.

2. Engagement Structure & Term

  • Minimum term: All engagements require a minimum commitment of 3 months. This minimum exists because meaningful ad performance data and campaign optimisation require at least 60–90 days to accumulate sufficient signal.
  • After the minimum term: Engagements continue on a month-to-month basis unless terminated in accordance with Section 9.
  • Commencement: Work begins upon receipt of the first month’s retainer payment and completion of onboarding (ad account access, pixel installation, and brand asset delivery).

3. Fees & Payment

  • Retainer fees are billed monthly, in advance, on the first day of each billing cycle.
  • Ad spend is separate from our management fee. Clients fund their own ad accounts directly (Google Ads, Meta Ads Manager, Pinterest Ads Manager). We do not hold or process client ad spend.
  • Late payment: Invoices unpaid after 7 days may result in campaign pausing. Invoices unpaid after 14 days may result in termination of the engagement.
  • No refunds: Retainer fees are non-refundable once a billing cycle has commenced, as work is performed in advance.
  • Fee changes: We will provide 30 days’ written notice of any changes to retainer fees.

4. Client Responsibilities

To enable us to deliver contracted services, the Client agrees to:

  • Provide timely access to all required ad accounts, analytics platforms, and data sources within 5 business days of engagement commencement.
  • Ensure ad accounts are funded with sufficient budget throughout the engagement.
  • Review and approve campaign materials (ad copy, creative briefs, landing page recommendations) within 3 business days of submission. Delays caused by Client approval holdups do not constitute grounds for fee reduction.
  • Provide accurate business information including product pricing, inventory status, and promotional schedules.
  • Ensure that all products, services, and promotional claims advertised comply with applicable advertising standards and platform policies (Google, Meta, Pinterest).
  • Maintain compliance with all applicable laws in the jurisdictions where they operate.

5. Ad Account Ownership

All ad accounts, campaigns, audiences, and data created or managed by DecorAdsPro on behalf of the Client remain the property of the Client. We operate as a manager on the Client’s own accounts and do not transfer ownership to ourselves. Upon termination, the Client retains full access to all accounts and historical data.

6. Intellectual Property

  • Client materials: All creative assets, brand guidelines, product images, and other materials provided by the Client remain the intellectual property of the Client.
  • Agency work product: Campaign strategies, ad copy, creative briefs, and reports produced by DecorAdsPro for the Client become the Client’s property upon full payment of all outstanding fees.
  • Case studies and portfolio: DecorAdsPro reserves the right to reference client engagements in anonymised case studies, benchmarks, and portfolio materials. Client-identifying information will not be disclosed without written consent. Clients may opt out of this by notifying us in writing.
  • Agency methodologies: Our proprietary frameworks, processes, and internal tools remain the exclusive property of DecorAdsPro.

7. Confidentiality

Both parties agree to keep confidential all non-public business information shared during the engagement, including but not limited to revenue figures, ad account performance data, customer lists, and pricing strategy. This obligation survives termination of the engagement for a period of 2 years. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

8. Performance Disclaimer & No Guarantee of Results

DecorAdsPro applies industry best practices and 7+ years of home decor specialisation to every engagement. However, advertising results depend on factors outside our control, including ad platform algorithm changes, market conditions, seasonality, product pricing, landing page quality, and ad spend levels. We do not guarantee specific ROAS targets, revenue outcomes, or ad platform approval of any campaign. Past performance results published on our website are real but not indicative of future results for any specific client.

9. Termination

  • By the Client: After the 3-month minimum term, the Client may terminate by providing 30 days’ written notice via email to sharif@decoradspro.com. Termination during the minimum term does not relieve the Client of payment obligations for the remaining minimum period.
  • By DecorAdsPro: We may terminate the engagement immediately for cause, including non-payment, Client breach of platform policies, or material misrepresentation. We may also terminate without cause by providing 30 days’ written notice.
  • Upon termination: All campaigns will be paused or handed back to the Client within the notice period. All access credentials and account management roles granted to DecorAdsPro should be revoked by the Client within 14 days of termination.

10. Limitation of Liability

To the maximum extent permitted by applicable law, DecorAdsPro’s total liability to the Client for any claim arising from or related to these Terms or the services provided shall not exceed the total fees paid by the Client to DecorAdsPro in the 3 months immediately preceding the claim. In no event shall DecorAdsPro be liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost profits, or loss of data, even if advised of the possibility of such damages.

11. Indemnification

The Client agrees to indemnify and hold harmless DecorAdsPro from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) Client’s breach of these Terms; (b) Client’s violation of any ad platform policy or applicable law; (c) inaccurate or misleading information provided by the Client; or (d) any claim that Client’s products or services infringe third-party intellectual property rights.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable to international commercial agreements. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), with proceedings conducted in English. Nothing in this clause prevents either party from seeking injunctive relief in any competent court.

13. Entire Agreement & Amendments

These Terms, together with any signed proposal or SOW, constitute the entire agreement between the parties and supersede all prior communications regarding the subject matter. Amendments to these Terms must be agreed in writing by both parties. We may update these Terms periodically; continued engagement after notice of updates constitutes acceptance.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
